Welcome to wavGeek (“we,” “us,” “our”). These Terms (“Terms”) govern your access to and use of wavGeek (the “Site”). By registering, accessing or using the Site or Services, you agree to these Terms. If you do not accept them, do not use wavGeek.
1. Acceptance of Terms
By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional guidelines, rules, or policies that we may provide. If you are using the Website on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. User Types & Eligibility
Sellers may offer audio production, mixing, mastering, and related services. Buyers may browse and purchase those offerings.
You must be ≥ 18 years old or the legal age in your jurisdiction to use the Site, and provide accurate identification and payment information.
3. Account Responsibilities
One active account per individual is permitted. Creating multiple accounts to circumvent rules, gain advantage, or mislead the community may result in permanent suspension.
You are responsible for all activity under your account. Keep login credentials confidential and notify us immediately of unauthorized access.
Impersonation, false identity claims, or sharing account access are prohibited.
4. Platform Transactions
All orders must be placed, processed, and paid for through the wavGeek system. Off-platform payments, contact-sharing to bypass fees, or external negotiations are prohibited and void any platform protections.
wavGeek may apply service fees or commissions (e.g., ~10% for Sellers; Buyer service fee as applicable).
We withhold delivery or payments if fraudulent or suspicious transactions are detected.
5. Seller Earnings & Payments
Once an order is marked completed by the Buyer, we release funds (minus our commission and applicable transaction fees).
You are solely responsible for taxes, including sales, income, or withholding obligations.
6. Prohibited Behavior & Content
You may not:
Violate laws, third-party terms, or infringe intellectual property rights .
Use threatening, harassing, defamatory or indecent language; engage in spam, phishing, or abusive messaging .
Use bots, scrapers, automation tools without explicit permission.
Offer services that facilitate illegal activity or violate others’ platform terms or deep‑fake, deceptive or fake‑review services .
7. Intellectual Property & Licensing
Unless expressly stated otherwise on a Seller’s Gig page, upon full payment and delivery, Buyers are granted all intellectual property rights, including copyrights. Sellers waive moral rights. Delivered work is considered a “work‑for‑hire” where applicable, or otherwise transferred to Buyer upon payment completion .
Some Sellers may offer separate Licenses or Upgrades, especially where broadcast, licensing or resale rights differ.
Sellers must keep Buyer-supplied non-public information strictly confidential, using it only to deliver the ordered work.
8. Content Licenses to wavGeek
By uploading content (texts, audio demos, images, profiles), you grant wavGeek a non-exclusive, royalty-free, worldwide license to display, reproduce, distribute, and promote your content for platform marketing and operational purposes.
9. Communications & Messaging
All communication between Buyer and Seller must occur through the wavGeek messaging system. Sharing external contact details or moving conversation off-platform to avoid fees is prohibited and voids Site protections .
10. Term, Termination & Enforcement
We may suspend or terminate any account—immediately and without notice—for violations of these Terms, at our sole discretion.
Users may choose to stop using wavGeek and request account deletion by contacting support.
11. Disclaimers & Limitation of Liability
wavGeek is not party to contracts between Buyer and Seller. We do not guarantee quality, legality, or delivery of services.
All Services and Site are provided “as-is,” without warranties of fitness, merchantability, title, or non-infringement.
To the fullest legal extent, we (and our affiliates or partners) will not be liable for indirect, incidental or consequential damages, loss of profits, data or other intangible losses.
12. Indemnification
You agree to defend, indemnify, and hold harmless wavGeek, its staff, affiliates, agents, and others from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from your use of the Site or violation of these Terms.
13. Modifications to Terms
We may revise these Terms at any time (e.g. to adapt to new features or legal requirements). Your continued use after posting of updated Terms constitutes acceptance. If you disagree, you must stop using the Site .
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
